XiteAI Technologies (“XiteAI,” “we,” “us,” or “our”) delivers a state-of-the-art AI platform designed to empower creators, professionals, and innovators with intelligent, cost-efficient solutions. These Terms of Service (“Terms”) govern your use of our website at XiteAI Home, our iOS and Android mobile applications, and our AI-driven services, including access to advanced AI models, our proprietary SuperXite system, Maestro’s intelligent query orchestration, and specialized tools for research and productivity (collectively, the “Service”). Currently in its waitlist phase, with a full launch planned for 2026, your access to the Service, including our waitlist, is subject to these Terms and our Privacy Policy. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Our Service, powered by the SuperXite system and Maestro’s intelligent orchestration, integrates advanced AI models via trusted third-party providers to ensure precision and efficiency. 3. Eligibility and Registration

3.1 Age Requirements

You must be at least 13 years old or meet the minimum age required in your jurisdiction to use the Service. Users aged 13–17 require parental or guardian consent, and guardians must agree to these Terms on their behalf. The Service may generate content based on user inputs that could be unsuitable for younger audiences, so guardians should monitor usage and review our Privacy Policy for data management options.

3.2 Account Creation

You must provide accurate and complete information when registering for an account or joining the waitlist. You are responsible for securing your account credentials and all activities under your account. Sharing credentials or allowing others to access your account is prohibited. If registering on behalf of another person or entity, you must have the authority to bind them to these Terms.

3.3 Third-Party Authentication

You may access the Service using third-party services (e.g., Google, Apple, X). By doing so, you authorize XiteAI to access and store necessary information, such as login credentials or access tokens, as permitted by those services’ terms. If using X credentials, you may opt to share your X profile, preferences, or usage data, subject to X’s terms.

4. Service Usage

4.1 Available Features

Subject to these Terms, the Service offers access to advanced AI models, the SuperXite system for optimized performance, Maestro for intelligent query routing, and tools for research and productivity. Features vary by subscription tier (Essentials, Prime, Pay-As-You-Go). Visit our Status Page for real-time availability. During the waitlist phase, resource management measures may apply.

4.2 Restricted Activities

You may not:

• Copy, modify, lease, sell, distribute, reverse-engineer, or decompile any part of the Service.
• Use the Service to develop competing AI models, scrape, or resell content.
• Interfere with, disrupt, or attempt unauthorized access to the Service or its systems.
• Engage in activities promoting harm, including terrorism or violence.
• Infringe on intellectual property, privacy, or publicity rights.
• Conduct espionage, hacking, fraud, defamation, spamming, or phishing.
• Use the Service in regulated industries without compliance or in unsupported regions.
• Make automated decisions impacting safety, legal rights, or well-being without human oversight.
• Misrepresent AI-generated outputs as human-created.

Violations may result in account suspension or termination without refund, as outlined in our Acceptable Use Policy.

4.3 Third-Party Integrations

The Service integrates with third-party providers for AI models and payment processing, whose terms you must review. XiteAI is not liable for third-party service interruptions or data practices. See our Security Overview for protective measures.

5. Your Content

5.1 Responsibility and Ownership

Your inputs (e.g., text, files) (“Input”) and AI-generated outputs (e.g., text, code) (“Output”), collectively “User Content,” are your responsibility. You must ensure User Content complies with applicable laws and these Terms, and that you have all necessary rights to use it. You retain ownership of User Content but must credit XiteAI for outputs per our Brand Guidelines.

5.2 XiteAI’s Rights to User Content

You grant XiteAI a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, store, process, and transmit User Content to:

• Deliver and maintain the Service.
• Enforce these Terms or comply with legal requirements.
• Ensure safety through automated or limited human review.

User Content is not used for training models unless you opt-in via account settings. Deleted content is scheduled for removal within 30 days, as detailed in our Privacy Policy.

5.3 Output Characteristics

AI-generated outputs may:

• Contain inaccuracies or “hallucinations.”
• Be incomplete or unsuitable for your needs.
• Be similar to outputs provided to other users.

You are responsible for verifying output accuracy and appropriateness. Outputs do not reflect XiteAI’s views.

6. Data Management

XiteAI prioritizes minimal data retention:

• Non-Storage Approach: User Content is not stored beyond what is necessary for sessions and account functionality.
• Third-Party Processing: Inputs and outputs are processed via trusted providers, subject to their terms.
• Storage Options: Store data locally or in user-controlled cloud storage.
• Isolated Chats: Certain features isolate chats from global memory, storing data locally or in your chosen cloud.

7. XiteAI’s Intellectual Property

XiteAI and its licensors own all rights to the Service, including SuperXite, Maestro, software, and branding. Unauthorized copying, modification, distribution, or reverse-engineering is prohibited.

8. Usage Data and Feedback

8.1 Usage Data

We collect diagnostic and usage data (“Usage Data”) to enhance the Service. XiteAI owns Usage Data for analytics, improvement, and compliance purposes.

8.2 Feedback

Feedback you provide is assigned to XiteAI, including intellectual property rights, for use without attribution or compensation.

9. Subscription Plans

9.1 Billing and Payments

For paid plans:

• Provide accurate billing information and a valid payment method.
• Subscriptions auto-renew monthly until canceled.
• Pay-As-You-Go includes a platform fee and transparent per-request costs.
• Taxes may apply based on your jurisdiction.
• Failed payments may result in account downgrading or suspension.
• No refunds for partial periods or unused services, except as required by law.

9.2 Price Adjustments

We may adjust subscription prices with 30 days’ notice. New prices apply upon renewal, and you may cancel if you disagree.

10. Privacy and Security

Our Privacy Policy details data collection, use, and disclosure. Our Security Overview outlines protective measures, though no system is entirely secure. Report security concerns to sv.xiteai@gmail.com.

11. Account Termination

You may close your account at any time. We may suspend or terminate access if:

• You violate these Terms or our Acceptable Use Policy.
• Your use poses a risk to XiteAI, users, or third parties.
• Legal obligations require it.
• Your free account is inactive for over 12 months.

12. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. XITEAI DOES NOT GUARANTEE ERROR-FREE OR UNINTERRUPTED SERVICE. OUTPUTS MAY BE INACCURATE, AND YOU USE THEM AT YOUR OWN RISK.

13. Liability Limitation

XITEAI AND ITS AFFILIATES (“XITEAI INDEMNITEES”) ARE NOT LIABLE FOR:

• INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.
• CLAIMS EXCEEDING THE AMOUNT PAID TO XITEAI IN THE PRIOR 12 MONTHS OR ₹1000, WHICHEVER IS GREATER.

THESE LIMITATIONS APPLY UNLESS PROHIBITED BY LAW.

14. Indemnification

You agree to defend and indemnify XiteAI Indemnitees from claims arising from:

• Your use of the Service or User Content.
• Your violation of these Terms or applicable laws.
• Your infringement of third-party rights.

15. Copyright Infringement

To report copyright infringement, contact our Copyright Agent at incxiteai@gmail.com with:

• A signature of the copyright owner or authorized agent.
• A description of the infringed work and its location on the Service.
• Your contact information.
• A good-faith statement that the use is unauthorized.
• A statement under penalty of perjury that the information is accurate.

We may remove infringing content and terminate accounts of repeat infringers.

16. Dispute Resolution

Class Action and Jury Trial Waiver: YOU AND XITEAI WAIVE THE RIGHT TO JURY TRIALS OR CLASS ACTIONS. DISPUTES WILL BE RESOLVED INDIVIDUALLY.

Governing Law: These Terms are governed by Indian law, with disputes resolved in Bangalore, Karnataka courts.

Time Limit: Claims must be filed within two years of the event giving rise to the claim.

17. Region-Specific Terms

17.1 Europe (EEA, UK, Switzerland)

Consumer Definition: “European Consumers” are individuals in the EEA, UK, or Switzerland acting for non-business purposes.

Registration Process: Ensure your registration information is accurate. We process registrations immediately and do not store contract copies.

Governing Law and Venue: European Consumers benefit from local laws and may resolve disputes in their country’s courts.

Withdrawal Right: European Consumers may withdraw within 14 days of registration by emailing incxiteai@gmail.com with your details. Refunds are processed within 14 days.

Liability: XiteAI is not liable for losses unless caused by our breach or reasonably foreseeable, subject to local laws.

17.2 Australia

Australian residents may report child safety concerns to the eSafety Commission via their webform.

18. Mobile App Terms

Device Compatibility: Ensure your device is compatible with our iOS or Android apps. You are responsible for any mobile data charges.

iOS App: These Terms are between you and XiteAI, not Apple. Apple is a third-party beneficiary for iOS app enforcement.

Android App: These Terms are between you and XiteAI, not Google. Google is a third-party beneficiary for Android app enforcement.

19. General Terms

Assignment: You may not assign these Terms without our consent. XiteAI may assign them freely.

Term Updates: We may update these Terms with 30 days’ notice. Continued use signifies acceptance.

Entire Agreement: These Terms and our Privacy Policy constitute the full agreement.

Severability: Invalid provisions do not affect the remaining Terms.

No Waiver: Failure to enforce any provision does not waive it.

Export Compliance: You must comply with applicable export and sanctions laws.
